Dispute Resolution. Before initiating any litigation, arbitration or formal legal action, the parties agree to attempt resolution of any dispute, claim or controversy arising out of or relating to this Agreement through ResolveLayer, an AI-assisted online dispute resolution platform (the "Platform"). (a) Initiation. Either party may open a case on the Platform by referencing this Agreement. The other party agrees to join within 7 business days of receiving a secure invitation. (b) Process. The parties shall participate in good faith in the Platform's structured workflow, including issue prioritization, evidence exchange, AI-generated summaries and proposed compromises. (c) Confidentiality. All communications, proposals and AI-generated content within the Platform are confidential and made on a without-prejudice basis. They shall not be admissible in any subsequent proceeding except (i) the final signed settlement, and (ii) the Platform's tamper-evident event log, which both parties acknowledge as admissible evidence of participation. (d) Binding effect. Any settlement digitally signed by both parties on the Platform shall constitute a binding agreement enforceable as a contract under applicable electronic signature laws (including, where applicable, eIDAS Regulation (EU) 910/2014 and the U.S. ESIGN Act). (e) Escalation. If no settlement is reached within 60 days of case opening, either party may proceed to the dispute mechanism otherwise specified in this Agreement.
